Raven10 Terms of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of the Raven10 platform, products, and services (collectively, the Services) operated by RAVEN10 TEKNOLOJİ VE DANIŞMANLIK A.Ş. ("Raven10", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise accessing the Services, you agree to be legally bound by these Terms.

Raven10 is a business-to-business (B2B) platform providing data-driven analytics, AI-assisted tools, simulations, and decision-support applications for energy and related markets.

If you do not agree with these Terms, you must not access or use the Services.

2. Scope of Services

The Services may include, but are not limited to:

• Voxis: market simulations, scenario analysis, and AI-assisted interaction tools
• Enmind: knowledge-driven AI assistants and analytical support features
• Ulgen Analytics: advanced analytics and insights application, accessible subject to subscription plan and permissions
• Supporting cloud-based dashboards, APIs, data services, and future modules introduced by Raven10

The exact scope, limits, and availability of features depend on the active subscription plan.

3. Accounts and Authorized Use

• Services are provided exclusively for business and professional use
• You are responsible for maintaining the confidentiality of your account credentials
• Access is limited to the number of authorized users defined in your subscription plan
• You must ensure that all authorized users comply with these Terms

Raven10 may suspend or terminate access if unauthorized use, abuse, or security risks are detected.

4. Subscriptions and Billing

4.1 Subscription Plans

Access to the Services is provided on a subscription basis (monthly, annual, or otherwise as specified). Each plan defines:

• Available modules and applications (including Ulgen Analytics access)
• Limits on usage and premium requests
• Number of authorized users
• Pricing and billing cycle

Plan details are published on the Raven10 platform or agreed contractually.

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.

By subscribing, you authorize Raven10 to charge the applicable subscription fees using the payment method on file.

4.3 Price and Plan Changes

Raven10 reserves the right to modify subscription fees, plan structures, feature availability, or usage limits, including the right to discontinue or replace any plan.

• Changes take effect no earlier than the next billing cycle
• Users will be informed of material changes prior to renewal
• Continued use after the effective date constitutes acceptance of the updated terms and pricing

5. Cancellation, Upgrades, and Downgrades

5.1 Cancellation

• Subscriptions may be canceled at any time via the account management interface or by contacting support
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial periods unless explicitly required by applicable law or contract

5.2 Upgrading Plans

• Upgrades take effect immediately upon confirmation
• Additional fees may be charged on a prorated basis
• Upgraded plans may provide increased access to Services, premium requests, or Ulgen Analytics features

5.3 Downgrading Plans

• Downgrades take effect at the start of the next billing cycle
• Features or usage exceeding the downgraded plan may be restricted after the effective date

6. Premium Requests (Usage-Based Rights)

6.1 Definition

Premium Requests replace the legacy token-based system and represent plan-specific, usage-based rights to access advanced features, computations, simulations, AI-assisted operations, or analytical actions within Voxis and Enmind.

6.2 Allocation and Limits

• Each subscription plan includes a defined number of premium requests per billing period
• Limits may vary by module (e.g., Voxis vs. Enmind)
• Unused premium requests do not roll over unless explicitly stated otherwise

6.3 Fair Use and Enforcement

Raven10 reserves the right to:

• Apply fair-use policies
• Throttle or restrict excessive or abusive usage
• Require plan upgrades for sustained higher usage

7. Ulgen Analytics Access

Access to Ulgen Analytics is:

• Limited to subscription plans that explicitly include it
• Subject to usage, data, or feature restrictions defined per plan

Raven10 may modify, expand, or limit Ulgen Analytics functionality over time.

8. Data, Content, and User Responsibility

8.1 User-Provided Data

Users may upload documents, data, or parameters to enable platform functionality. By doing so, you grant Raven10 a non-exclusive, worldwide, royalty-free license to process such data solely for service operation, maintenance, and improvement.

8.2 Responsibility and Disclaimer

• You are solely responsible for the legality, accuracy, and appropriateness of uploaded data
• Raven10 does not guarantee outcomes, accuracy, or suitability of generated outputs
• Sensitive, confidential, or legally restricted data should not be uploaded unless explicitly agreed

9. No Investment or Professional Advice

All outputs, simulations, analytics, and AI-assisted responses are provided for informational and decision-support purposes only.

Raven10 does not provide investment, financial, legal, or regulatory advice and assumes no fiduciary duty.

10. Intellectual Property

• All platform software, models, interfaces, and content are owned by or licensed to Raven10
• No rights are granted except as expressly stated in these Terms
• Users retain ownership of their original content, subject to the license granted herein

11. Suspension and Termination

Raven10 may suspend or terminate access, with or without notice, if:

• These Terms are violated
• Usage poses legal, security, or operational risk
• Required payments are overdue

Upon termination, access to Services will cease, and data may be deleted in accordance with our policies.

12. Limitation of Liability

To the maximum extent permitted by law, Raven10 shall not be liable for any indirect, incidental, consequential, or business losses, including loss of profits, data, or opportunities.

13. Modifications to Terms

Raven10 may update these Terms from time to time. Updated Terms will be published on the platform and become effective as stated.

Continued use of the Services constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the jurisdiction in which Raven10 is incorporated. Any disputes shall be subject to the exclusive jurisdiction of the competent courts therein.
